The nine steps
Four things are best settled before drafting starts: strategy and target investors, the MAS-regulated fund manager every VCC must appoint (MAS and ACRA, 15 January 2020), target size and timeline, and anchor investors' terms. Timings below are indicative and depend on completeness and referrals. Strategy-specific design is covered in private equity and venture, hedge funds, real estate and private credit and tokenised funds.
Step 1: Confirm strategy fit and the manager licence
- Documents: strategy summary, target investors, the manager's licence details or a licence application with business plan, CVs and compliance arrangements.
- Time: days if the manager is already licensed. For a new licence, MAS expects to take up to six months to review complete applications; after in-principle approval, conditions must be met within up to six months, extendable by three (MAS, Fund management licensing).
- Who: founders, regulatory counsel, compliance adviser.
- Common sticking points: choosing among Retail LFMC, A/I LFMC and VCFM. The VCFM route is open only to venture capital funds meeting the tests in SFA 04-G05 Appendix 4 (last revised 3 September 2025), including the 80/20 rule on company age. MAS does not count experience investing one's own or family members' money as relevant experience (SFA 04-G05, para 3.8).
Step 2: Design the vehicle and sub-fund terms
- Documents: term sheet covering umbrella or standalone VCC, sub-funds and share classes, open-ended or closed-end terms, base currency, financial year end, fees and investor rights.
- Time: typically a few weeks of iteration with counsel and anchor investors.
- Who: manager, fund counsel, tax adviser.
- Common sticking points: deciding whether future strategies will sit in new sub-funds under one umbrella. One sub-fund's assets cannot discharge another's liabilities (ACRA), and sub-funds can share a board and service providers. For 13O/13U an umbrella is one entity and local spending is aggregated (FDD Cir 05/2026). See sub-fund economics.
Step 3: Appoint service providers
- Documents: agreements with the fund administrator, custodian or prime broker, auditor, company secretary and eligible financial institution (EFI); legal and tax engagement letters.
- Time: onboarding runs in parallel with drafting; each provider runs its own KYC on the manager and VCC.
- Who: manager (COO/CFO), with counsel reviewing agreements.
- Common sticking points: statutory deadlines start at incorporation: a company secretary within six months, an auditor within three months, a Singapore-resident director and a director who is a qualified representative or director of the fund manager (ACRA, Step 2). The VCC must engage an EFI from the classes in MAS Notice VCC-N01 for AML/CFT, and 13O and 13U require a Singapore-based fund administrator. See the operating model.
Step 4: Draft the fund documents
- Documents: VCC constitution, information memorandum, subscription agreement, investment management, administration and custody agreements, valuation policy, side letters.
- Time: usually the longest drafting phase.
- Who: fund counsel, manager, administrator (dealing and NAV mechanics), tax adviser.
- Common sticking points: MAS expects disclosure of investment policy and risks, fees, exit terms including any gating, side-pocketing or suspension, the valuation policy, leverage, counterparties and service providers (SFA 04-G05 para 4.1.4). The constitution is not public, though the government can request it (ACRA, Step 5a).
Step 5: Incorporate the VCC or register the sub-fund with ACRA
- Documents: VCC Portal application, constitution, details of directors, company secretary and fund manager, registered office, sub-fund details.
- Time: ACRA states registrations take 14 to 60 days to approve; each new sub-fund must be registered within seven days of formation, and officer changes within 14 days (ACRA, Steps 5a and 6).
- Fees: S$8,015 for a new VCC (S$15 name registration plus S$8,000 incorporation) and S$400 for each sub-fund (ACRA, Step 1, 29 January 2026).
- Who: corporate service provider or counsel; foreigners without Singpass file through a corporate service provider.
- Common sticking points: agency referrals extend timing; officer details must match the documents. A Cayman fund follows ACRA's re-domiciliation process instead (see Cayman re-domiciliation). Form-level detail is at vccfund.com.sg.
Step 6: Choose and file the offering route
- Documents: for a restricted scheme, the CISNet notification and an information memorandum.
- Time: the notification must be made, and the scheme entered on MAS's list, before the offer (MAS, Offers of Collective Investment Schemes, 5 October 2026).
- Who: compliance function, fund counsel.
- Common sticking points: a restricted scheme may be offered only to relevant persons under SFA s305(5), or on terms of at least S$200,000 per transaction, and a declaration is lodged every 12 months. Entry on the list is a notification outcome, not approval. Advertising restrictions apply, so marketing material needs review. See fundraising and KYC.
Step 7: Open bank and custody accounts and onboard investors
- Documents: account-opening packs; subscription documents, identity and source-of-wealth evidence, accredited investor declarations, CRS and FATCA self-certifications.
- Time: often the critical path; banks and custodians run their own due diligence on the VCC, manager, directors and controllers.
- Who: manager and administrator; the EFI performs customer due diligence (MAS Notice VCC-N01).
- Common sticking points: accredited investor checks under SFA s4A (thresholds are set out in fundraising and KYC) and incomplete source-of-wealth files from early investors. Account documents are covered at bankaccount.com.sg.
Step 9: Apply for tax incentives and start post-launch filings
- Documents: 13O or 13U application to MAS where relevant; certificate of residence application to IRAS; GST remission claims; first-year compliance calendar.
- Time: non-family-office funds need S$5 million (13O) or S$50 million (13U) of AUM in designated investments at application, with a grace period for 13O (FDD Cir 05/2026, para 3.4). GST remission claims are filed quarterly, within one month of each quarter end (IRAS VCC e-Tax Guide).
- Who: tax adviser, manager, administrator.
- Common sticking points: the incentive is not automatic or guaranteed; spending, headcount and, for 13O, the 30/50 rule are tested yearly. A VCC is tax resident if control and management are exercised in Singapore (IRAS e-Tax Guide §5.2). See the reporting calendar.
Indicative timeline at a glance
| Phase | Steps | Indicative duration | Drives the timeline |
|---|---|---|---|
| Licence | 1 | Days if licensed; MAS review up to six months | Application completeness |
| Design and appointments | 2–3 | Several weeks | Anchor terms; onboarding |
| Documents | 4 | Several weeks, overlapping | Negotiation with anchors |
| Registration | 5 | 14–60 days (ACRA) | Referrals and data accuracy |
| Offering and onboarding | 6–7 | Weeks, often the longest leg | Bank due diligence |
| Close and post-launch | 8–9 | From first close onward | Investor funding; tax application |
These ranges combine official timelines (MAS, ACRA) with the sequence of work and are not a promise of any launch date. Steps 2 to 4 and the start of step 7 usually run in parallel. A re-domiciling fund replaces step 5 with ACRA's transfer process and adds the Cayman exit, so both jurisdictions set its timeline.
Where launches commonly stall
Across strategies, the same issues tend to delay first close:
- Licence gaps. The manager's licence or headcount does not match the strategy or investor base.
- Late service-provider choice. The administrator, auditor or EFI joins after drafting, forcing revisions to dealing, NAV or KYC terms.
- Account opening. Bank and custodian due diligence starts only after incorporation, not in parallel with drafting.
- Tax-scheme assumptions. Documents assume 13O/13U treatment before the fund can meet AUM, headcount or spending conditions.
- Marketing too early. Materials are circulated before the restricted scheme is entered on MAS's list.
Involving the administrator and EFI from step 3 is the usual way to shorten the critical path. Not covered here: licence application forms, ACRA form fields and the general legal framework (vccfund.com.sg), a Chinese-language overview (vccfund.sg) and family-office set-ups (sgvcc.com).
